Legal Counsel & Commercial Specialist
Work on the mission-critical task of pricing, drafting, negotiating and closing software licence and service transactions, with support from Senior Business Officers. These transactions are often mid-to-large deals with large industry-leading companies and involve time-sensitive, high-intensity negotiations with skilled client procurement experts, lawyers or professional negotiators. Negotiations are multi-level and cross functional. This position will be responsible for assisting with deal structuring and pricing and for contract drafting, negotiating business and legal terms with customers, and revenue recognition analysis. Additionally, this role will frequently interact with senior sales executives, obtain required approvals when necessary and drive deals to signature.
In this role, you will:
Working under the direction of Senior Business Officers, act as lead negotiator with customers’ procurement executives and lawyers to ensure that negotiations are conducted in a disciplined manner
Use the full offer negotiation process to retain maximum value for the company and consistency with company standards and precedent
Review and draft software licence and service agreements using concise language to rapidly resolve contract issues in a manner that is reasonable for the company and the customer
Accountable to drive the timely completion of all steps in the deal process, including framing, pricing, negotiation and closing of licence transactions

A skilled negotiator and contract drafter with experience closing software licence and service deals. In addition, this person has a background in deal structuring, pricing, and contract drafting. He/She has experience collaborating with sales executives and sales leadership and a background in the legal space. The ideal candidate for this role will have a high degree of integrity, motivation, and drive for results, without sacrificing customer success.
- Bachelor’s degree or international equivalent
- 2 – 5+ years’ experience negotiating transactions for software licences and/or services
- 2 – 5+ years’ experience drafting software licence and service contracts
- Understanding of key technologies relevant to Pegasystems’ industry
